New in Insider Focus: M&A Potential Payout + 10b5-1 Plans
Two new SEC-sourced signals in Insider Focus — M&A Potential Payout and 10b5-1 Plans — surface capacity and timing in one view. Debuting at Apra PD26, Booth 212.
Two new signals for capacity and timing
M&A Potential Payout and 10b5-1 Trading Plans are now live in Insider Focus.
Insider Focus was built to answer two questions about the people in your pipeline: who has wealth, and when it becomes liquid. This release sharpens both. We've added two new data signals drawn straight from SEC filings — one that surfaces what an executive stands to receive when a merger closes, and one that flags the stock sales they've already scheduled.
Together they turn "this person is probably wealthy" into "here's the number, and here's roughly when." Both are live now, and both debut at the booth at Apra PD26.
M&A Potential Payout*
When a company you're watching is part of a pending merger, its executives and directors often have a defined payout waiting on close — severance, accelerated equity, and perquisites that can run well into the millions. Insider Focus now pulls those figures directly from DEFM14A merger proxy filings and surfaces them at the officer level, so you're not estimating capacity, you're reading it.
What you'll see
- Officer-level totals broken out into cash, equity, and perquisites
- A dashboard widget and a results-page indicator flagging active payout data
- Exportable to Excel alongside the rest of your Insider Focus report
Why it matters: A merger close is one of the clearest liquidity events there is — a known number arriving on a known horizon. That's capacity and timing in a single signal.
10b5-1 Trading Plans
A 10b5-1 plan is a pre-scheduled arrangement that lets an insider sell company stock on a set timeline. In other words, it's a liquidity event an executive has told the SEC is coming. Insider Focus now reads these plans from 10-K and 10-Q filings and surfaces both adopted and terminated plans — so you can see not just that a sale is planned, but whether the plan is still in force.
What you'll see
- Adopted vs. terminated status, with adoption dates and share counts
- Estimated liquidity from the planned sale
- The same dashboard widget, results indicator, and Excel export as M&A Payout
Why it matters: A planned sale telegraphs liquidity before it lands. You can be in the conversation ahead of the transaction instead of reading about it afterward.
"Anyone can tell you who's wealthy. Insider Focus tells you who's about to be liquid — and who's already planned for it."
